Welcome to Kevat.Ai, an initiative by HumanX Labs Inc. ("we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Kevat Mobile Application ("App"). This Mobile Application ("App") is owned and operated by HumanX Labs Inc. a Corporation incorporated in the State of Delaware, United States of America.

By using the App, you are entering into this Agreement. You should read this Agreement carefully before starting to use the App. If you do not agree to be bound by any term of this Agreement, you must not access the App.

When the terms "we", "us", "our" or similar are used in this Agreement, they refer to HumanX Labs Inc., the company that owns and operates the "Kevat.Ai" Mobile Application (the "Company").

1. About Kevat.Ai

Kevat.Ai is a Mobile Application platform that connects individuals seeking guidance with those who have lived through similar experiences. Our App enables users to register, book peer-support guidance sessions, and interact through video-based communication features.

2. The Kevats and Services

The App may be used to connect you with a peer-support guide ("Kevat"), who may possess varying qualifications, credentials, or experiences depending on the applicable jurisdiction and who will provide services to you through the App ("Services").

3. Eligibility

The App is open to the general public and is not primarily directed at children under the minimum age permitted under applicable law. However, users under the age of majority in their jurisdiction must use the App under supervision of a parent or legal guardian, as permitted under the applicable law. A user must meet the minimum age required under applicable law to use the App. If you are under the age of majority in your jurisdiction, you may only use the App under the supervision and with the consent of a parent or legal guardian.

4. User Registration

To access certain features of the App, you must register using your phone number and verify it through a one-time password (OTP). You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

However, you will not be held responsible for activities that are demonstrably beyond your reasonable control or those caused due to breach or misuse of systems under our control. In such cases, we will take appropriate action, including investigating the incident and securing your account.

5. Kevats and Guidance Sessions

Kevat.Ai connects you with individual peer-support guides ("Kevats") who provide one-to-one guidance sessions through the App. These Kevats are experienced individuals who have walked a similar path and offer support and advice based on their personal experience and, wherever applicable, professional background.

For U.S. Based Kevats

We require each Kevat providing guidance sessions on the App to be appropriately qualified, experienced, and credentialed in accordance with the applicable state or jurisdiction requirements. While Kevats may come from diverse professional backgrounds, they must have relevant training and expertise, and meet our onboarding criteria to ensure appropriate standards of guidance and support.

For Non-U.S. Based Kevats

Kevats located outside the U.S. are required to hold relevant qualifications or certifications recognized in their respective countries or jurisdictions. They must demonstrate sufficient experience and credentials as counselors, coaches, or similar professionals to provide peer-support guidance through the App.

Independent Providers

Kevats are independent service providers and are neither employees, agents, nor representatives of HumanX Labs Inc. The App acts solely as a technology platform that facilitates connections between users and Kevats for guidance or peer-support services. HumanX Labs Inc. does not directly provide therapy or medical services, nor does it employ Kevats and does not supervise or control the professional judgment of Kevats.

Service Availability

Due to regulatory, licensure, or availability constraints, not all Kevats will be accessible to every user at all times. If a Kevat you are connected with ceases to offer services on the App, we will notify you via the contact details associated with your account so that you may select another Kevat through the App.

Important Notices Regarding Guidance Sessions

While Kevats strive to provide helpful support, these guidance sessions are intended for peer-support purposes only and are not a substitute for professional mental health treatment, clinical diagnosis, or emergency care. The App is not intended for handling crises, including but not limited to suicidal ideation, self-harm, or medical emergencies.

If you or someone else is in immediate danger or experiencing a medical emergency, please contact your local emergency services or appropriate crisis support services immediately.

Kevat.Ai is not designed to provide clinical diagnosis, court-ordered therapy, drug prescriptions, or medical treatment advice. You should always seek appropriate in-person care from licensed healthcare professionals for such needs.

6. Data We Collect

We collect the following categories of user data:

  • Name
  • Phone number
  • Profile picture
  • Bio
  • Age
  • Gender
  • Languages spoken
  • Location
  • Bank account ID (for payouts, where applicable)

All data is stored securely using encrypted databases. Communication and storage are encrypted. Please review our Privacy Policy for more information.

We do not knowingly collect personal information from children below the minimum age required under applicable law without verifiable parental consent. Wherever applicable, including U.S. Children's Online Privacy Protection Act (COPPA), parental consent may be required for users under the age of thirteen (13).

If we become aware that personal information has been collected from a child or minor in violation of applicable law without parental consent, we will promptly delete such information. If you are a parent or guardian and believe that your child has used the App or submitted personal data without your consent, please contact us at help@kevat.ai.

Wherever applicable, a parental consent screen or tab ("Parental Gate") will be presented during account creation for users who self-identify or indicate that they are below the applicable minimum age. A parent or legal guardian must provide permission before the account is activated.

We limit the collection of personal information from children/minors and process such information in accordance with applicable data protection and privacy laws. Parents and guardians are encouraged to monitor and supervise their children's use of Kevat.Ai and to help enforce these Terms.

7. App Access Permissions

To provide the full functionality of Kevat.Ai, the app requests the following permissions and uses them solely for the purposes described below:

  1. Camera: To facilitate live video calls between users and Kevats.
  2. Audio Recording: To transmit your voice during video calls.
  3. Location Access: To offer optional location-based Kevat matching to connect you with nearby Kevats. You may disable this without impacting the core functionality of the app.
  4. External Storage: To allow you to upload profile pictures or share files during sessions (optional).

You may revoke any of these permissions at any time via your device settings. Please note that revoking the camera or microphone permissions will disable the video call functionality of the App.

8. Privacy Policy

By using the Kevat.Ai App and agreeing to this Agreement, you also agree to be bound by our Privacy Policy, which is incorporated herein by reference and forms an integral part of this Agreement. Any rules and procedures that apply to changes and updates to this Agreement shall equally apply to the Privacy Policy, including how we notify you of such changes and when those changes become effective. We encourage you to review the Privacy Policy regularly to stay informed about how we collect, use, and protect your personal data.

9. User-Generated Content

Users may upload and share content through the App, including text, images, and audio/video during sessions. You are solely responsible for any content you share or create within the App.

The following content and behavior are strictly prohibited:

  • Nudity or sexually explicit material
  • Hate speech, racism, or discriminatory remarks
  • Harassment, bullying, or threats of any kind
  • Fraudulent, deceptive, or illegal activities

We reserve the right to review, moderate, restrict, suspend, or permanently terminate any user account found to be in violation of these guidelines, with or without prior notice. Content may be removed at our discretion if it is deemed harmful, inappropriate, or in breach of applicable laws or community standards.

10. Guidance Sessions & Payments

Users may book one-to-one guidance sessions with experienced Kevats through the App. Users may be required to pay a fee to access Kevats. These are live, human-to-human interactive sessions.

All payments are processed securely through third-party payment gateways such as Stripe, Razorpay, Google Play's Billing or other authorized payment providers. By making a payment, you agree to the terms and privacy policies of the respective payment provider. Prices and availability of sessions are subject to change from time to time, and will be clearly communicated before booking.

Payment may be made using credit cards, debit cards, UPI, or any other method supported by the platform in your jurisdiction. You confirm and agree to use only credit cards or other payment means (collectively "Payment Means") which you are duly and fully authorized to use, and that all payment related information that you provide, to or through the App, is accurate, current and correct and will continue to be accurate, current and correct.

Users located outside India, including the United States, may be subject to applicable local taxes, currency conversion charges, and payment processing fees as determined by the payment provider.

Kevat.Ai does not store or process payment information directly. All fees are displayed in the relevant currency based on your region. You are responsible for ensuring that sufficient funds and authorization are available for the transaction.

You agree to pay all fees and charges associated with your account on a timely basis and according to the fees schedule, the terms and the rates as published in the App. By providing us with your payment means you authorize us to bill and charge you through that payment means and you agree to maintain valid and current payment information in your account information.

11. Refund Policy

Refunds are generally applicable only if a session is canceled by Kevat.Ai or the assigned Kevat. No refunds will be issued for user-initiated cancellations or missed sessions except where expressly stated below or required under the applicable law.

  • For sessions purchased via Google Play Billing, you must request a refund directly through Google Play within forty-eight (48) hours of purchase. Google Play's refund decision is final and binding. If Google Play approves a refund, the session will be considered canceled, and no additional refund will be issued by Kevat.Ai.
  • For payments made through integrated third-party payment gateways, refund requests must be submitted to Kevat.Ai customer support within seven (7) days of purchase. Refunds for these payments will be processed by Kevat.Ai in accordance with its refund policies and applicable laws.

Please note that refunds may be subject to processing times and applicable charges imposed by the payment service provider.

12. Account Responsibilities and User Consent

You hereby confirm that you are legally able to consent to receive Kevat's Services, or have the consent of a parent or guardian, and are legally able to enter into a binding contract.

Minor Consent: Where consent from a parent or guardian is required to receive Kevat's Services, you hereby confirm that as the parent or legal guardian providing such consent, you have the legal authority to consent to Kevat's Services for the minor seeking guidance on their behalf. You also give affirmative consent to the provisions set forth in the accompanying Privacy Policy regarding the collection, processing, and use of personal information on behalf of the minor. You also agree that consent to Kevat's Services remains valid until session is completed/canceled.

You hereby confirm and agree that all the information that you provide in or through the App, and the information that you will provide in or through the App in the future, is accurate, true, current and complete. Furthermore, you agree that during the term of this Agreement you will ensure that such information is maintained and updated so it will continue to be accurate, current and complete.

You agree, confirm and acknowledge that you are responsible for maintaining the confidentiality of your password and any other security information related to your account (collectively "Account Access Credentials"). We advise you to change your password frequently and to take extra care in safeguarding your password.

You agree to notify us immediately of any unauthorized use of your Account Access Credentials or any other concern for breach of your account security. You agree, confirm and acknowledge that we will not be liable for any loss or damage incurred as a result of someone else using your account, either with or without your consent and/or knowledge.

You agree, confirm and acknowledge that you are solely and fully liable and responsible for all activities performed using your Account Access Credentials. You further acknowledge and agree that we will hold you liable and responsible for any damage or loss incurred as a result of the use of your Account Access Credentials by any person whether authorized by you or not, and you agree to indemnify and hold us harmless for any such damage or loss.

You agree and commit not to use the account or Account Access Credentials of any other person for any reason.

You agree and confirm that your use of the App, including the Kevat's Services, are for your own personal and non-commercial use only and that you are not using the App or the Kevat's Services for or behalf of any other person or organization.

You agree and commit not to interfere with or disrupt, or attempt to interfere with or disrupt, any of our systems, services, servers, networks or infrastructure, or any of the App's systems, services, servers, networks or infrastructure, including attempting to obtain unauthorized access to the aforementioned.

You agree and commit not to make any use of the App for the posting, sending or delivering of either of the following:

  1. Unsolicited email and/or advertisement or promotion of goods and services;
  2. Malicious software or malicious code;
  3. Unlawful, harassing, privacy invading, abusive, threatening, vulgar, obscene, racist or otherwise harmful content;
  4. Any content that infringes the rights of a third party right including intellectual property rights;
  5. Any content that may cause harm or damage to a third party;
  6. Any content which may constitute, cause, facilitate or encourage a criminal action or violate any applicable law;
  7. Any content that includes any kind of religious commentary or misleading or inaccurate quotations of religious texts.

You agree and commit not to violate any applicable local, state, national or international law, statute, ordinance, rule, regulation or applicable professional or ethical code in relation to your use of the App and your relationship with the Kevat's and HumanX Labs Inc.

If you receive any file from us or from a Kevat, whether through the App or not, you agree to reasonably check and scan this file for any virus or malicious software prior to opening or using this file.

You will indemnify, defend, and hold us harmless from and against any and all claims, losses, causes of action, demands, liabilities, costs or expenses (including, but not limited to, litigation and reasonable attorneys' fees and expenses) arising out of or relating to any of the following: (a) your access to or use of the App; (b) any actions taken using your account or Account Access Credentials whether by you or by someone else; (c) your violation of any of the provisions of this Agreement; (d) non-payment for any of the services (including Kevat's Services) which were provided through the App; (e) your violation of any third party right, including, without limitation, any intellectual property right, publicity, confidentiality, property or privacy right.

This clause shall survive expiration or termination of this Agreement.

13. Account Deletion

You may delete your account at any time through the App settings. Once the deletion request is confirmed, all associated personal data and account information will be removed from our active systems, subject to any applicable legal or regulatory data retention obligations. Please note that deleted data cannot be recovered and certain residual data may remain in system backups for a limited period, in accordance with our data retention practices and applicable law.

14. Third-Party Tools & SDKs

Kevat.Ai integrates with several third-party tools and software development kits (SDKs) like Expo, React native, Razorpay SDK, Agora SDK, Posthog, tailwind, and native wind, to enable core functionality, enhance user experience, and support secure transactions within the App. These tools may collect and process limited technical or operational data as required to function effectively within the App. All integrations are used in accordance with their respective privacy policies and security standards.

Note: Kevat.Ai does not integrate or display any third-party advertising within the App.

15. Intellectual Property

"Kevat.Ai," the Kevat.Ai logo, the name "Human X Labs Inc.", and all related names, logos, product and service names, designs, and slogans ("Kevat Marks") are trademarks and intellectual property of HumanX Labs Inc. or its affiliates or licensors. You may not use any Kevat Marks without the prior written authorization of HumanX Labs Inc.

All other names, logos, product and service names, designs, and slogans appearing on the App are the property of their respective owners and are used solely for identification purposes only.

Subject to your compliance with these Terms, HumanX Labs Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  1. access and use the Kevat.Ai App/platform and Services on your personal device; and
  2. view and use any content, information, or materials made available through the Services, solely for your personal, non-commercial purposes.

You agree not to copy, reproduce, distribute, modify, display, perform, transmit, or otherwise exploit any part of the App or its content except as expressly permitted under the terms of this Agreement.

The App, including but not limited to its design, features, content, functionality, user interface, and underlying code, is the exclusive intellectual property of HumanX Labs Inc. and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws. Unauthorized use, reproduction, distribution, modification, reverse-engineering, or creation of derivative works based on the App or its content is strictly prohibited without prior written authorization from HumanX Labs Inc.

All rights not expressly granted to you are reserved by HumanX Labs Inc. and its licensors.

Copyright

Kevat.Ai respects the intellectual property rights of others and seeks to comply with the Digital Millennium Copyright Act (DMCA). If you believe that content available on Kevat.Ai infringes your copyright, please write to our Designated Copyright Agent:

Your notification must include:

  • Identification of the copyrighted work claimed to have been infringed along with the supporting documents evidencing ownership.
  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
  • Identification of the material that is claimed to be infringing and its location in the App.
  • Contact information for the complaining party (name, address, telephone number, and email address).
  • A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.

Upon receipt of a valid notice, Kevat.Ai will promptly review, investigate and may remove or disable access to the allegedly infringing material.

16. Export Control Compliance

Kevat.Ai products and services may be subject to applicable export and re-export control laws and regulations, including those of the United States, such as:

  1. The Export Administration Regulations (EAR) administered by the U.S. Department of Commerce.
  2. Economic and trade sanctions enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
  3. The International Traffic in Arms Regulations (ITAR) administered by the U.S. Department of State.

By using Kevat.Ai, you represent and warrant that:

  1. You are not located in or accessing the App from a country or territory that is subject to applicable U.S. government embargoes or sanctions; and
  2. You are not listed on any U.S. government list of prohibited or restricted parties, including but not limited to Office of Foreign Assets Control ("OFAC's") Specially Designated Nationals (SDN) list or the Denied Persons List.

You agree to comply with all applicable export control and sanction laws and not to use, export, or re-export the App in violation of such laws.

17. Disclaimer of Warranty and Limitation of Liability

To the maximum extent permitted by applicable law, you hereby release and agree to hold harmless HumanX Labs Inc., its officers, directors, employees, affiliates, and agents, from any and all claims, liabilities, damages, losses, or causes of action arising out of or related to your use of the Kevat.Ai App, including but not limited to any advice, opinion, response, suggestion, information, guidance session, user-generated content, or interactions that occur through the App.

You understand and agree that, Kevat.Ai is a peer-support platform/App, not a provider of medical, psychological, or professional advice. Any guidance or support you receive is based on personal experience sharing and should not be construed as professional or therapeutic advice. You are solely responsible for your reliance on any such interaction or content.

The Kevat.Ai App is provided on an "as is" and "as available" basis, without any warranties, express or implied, including but not limited to warranties of merchantability, non-infringement, fitness for a particular purpose, accuracy, or security. We do not guarantee that the App will be error-free or uninterrupted.

To the fullest extent permitted by law, HumanX Labs Inc. disclaims all liability for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of data, loss of profits, or business interruption, even if we were advised of the possibility of such damages.

Kevat.Ai is an App for peer support, not a substitute or replacement for professional medical, legal, or psychological advice. Users are advised to exercise their own personal judgment.

This section shall survive the termination or expiration of this Agreement.

18. Termination

We may suspend, restrict or terminate your account or access to the App at our discretion for violations of these Terms or misuse of the platform/App.

19. Notice

Kevat.Ai may send you notices or other communications regarding these Terms or any aspect of the App by one or more of the following methods:

  1. Email, sent to the email address associated with your account (if provided);
  2. SMS, if your mobile number is your primary registration method;
  3. In-app notifications; or
  4. By posting updates or notices directly within the App.

The date on which the notice is sent or published shall be deemed the date of receipt.

If you need to contact us regarding these Terms or any other matter, you must send your notice via email to: help@kevat.ai. Notices will be deemed received on the date they are successfully delivered to our designated inbox.

20. Governing Law and Jurisdiction

This Agreement and your relationship with HumanX Labs Inc., a Delaware corporation and owner of the Kevat.Ai App, shall be governed by and interpreted in accordance with the laws of the State of Delaware, U.S., without regard to any principles related to conflicts of laws. This Agreement constitutes the entire understanding between you and HumanX Labs Inc. regarding your use of this App. You confirm that you have not relied upon any promises, representations, or warranties other than those expressly set forth in this Agreement.

You irrevocably agree that the exclusive venue for any action, dispute, or proceeding arising from or relating to this Agreement or your use of Kevat.Ai regardless of legal theory asserted shall be in the state or federal courts located in the State of Delaware, U.S. You consent to the personal jurisdiction of such courts and waive any objection to venue or jurisdiction.

Note: Nothing in this Agreement, including the selection of Delaware law and jurisdiction, limits or affects any non-waivable statutory consumer protection rights under the laws of the country or state in which you reside, where such rights may not be waived by contract. Nothing in these Terms limits or excludes any legal rights you may have under the consumer protection laws applicable in your jurisdiction. If any provision of these Terms is found to conflict with mandatory consumer protection laws in your country, that provision shall be interpreted and applied to the minimum extent necessary to comply with such laws while preserving the overall intent of the Terms.

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

Our total liability for any claim arising from your use of the App shall not exceed the amount you paid us, if any, for accessing the Services. If any limitation of liability is found to be unenforceable under applicable law, that limitation shall be modified to the minimum extent required to comply with such law.

For the avoidance of doubt, all provisions concerning limitations of liability, indemnification, intellectual property, and data rights shall survive the termination or expiration of this Agreement.

21. Revision and Assignment

We reserve the right to amend or modify this Agreement at any time by posting an updated version on the Kevat.Ai App. Unless otherwise specified, such modifications become effective upon publication within the App. You are encouraged to review this Agreement periodically. Continued use of the App after changes are posted constitutes your acceptance of the revised/updated Agreement. If you do not agree with the changes, you must discontinue using the App and its services. We may assign, transfer or delegate this Agreement, in whole or in part, to an affiliate or in connection with a merger, acquisition, or corporate reorganization without your consent.

The paragraph headings in this Agreement are for convenience only and shall not affect its interpretation.
